Acceptance of Terms

By accessing or using any part of the ViroDyn platform (the "Platform"), you (the "User") agree to be bound by these Terms of Use (the "Terms"). If you do not agree, do not access or use the Platform.

Definitions

  • "ViroDyn" / "we" / "our" / "us" – ViroDyn Ltd, a company incorporated in England and Wales (Company No. 16256929) with registered office at 124-128 City Road, London, England, EC1V 2NX.
  • "Content" – All software, tools, data, documentation, code, text, graphics, and other materials provided through the Platform.
  • "Tools" – Client-side or server-side software utilities, calculators, scripts, and related outputs made available through the Platform.

Licence and Permitted Use

We grant the User a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its Tools solely for lawful research, educational, or commercial purposes in accordance with these Terms and all applicable laws.

Prohibited Uses

The User shall not (and shall not permit any third party to):

  • Use the Platform or Tools for any purpose that is unlawful, harmful, dangerous, or unethical, including but not limited to:
    • Designing, developing, producing, or assisting in the creation of biological, chemical, or other weapons;
    • Conducting unlicensed medical interventions or diagnostics;
    • Violating export-control or sanctions regulations;
    • Infringing intellectual-property or privacy rights.
  • Attempt to disable, reverse-engineer, decompile, or derive source code from the Tools except to the extent expressly permitted by applicable law.
  • Introduce malware, security exploits, or any code intended to disrupt or corrupt the Platform or its users.
  • Use the Platform in a manner that could damage, disable, overburden, or impair ViroDyn's infrastructure.

Compliance with Laws and Export Controls

The Platform is controlled from the United Kingdom. Users are responsible for compliance with their local laws and regulations, including export-control rules of the UK, EU, US, and any jurisdiction in which they operate.

Disclaimer of Warranties

THE PLATFORM AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE." VIRODYN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law:

  • ViroDyn shall not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages arising out of or in connection with the use or inability to use the Platform, even if advised of the possibility of such damages.
  • ViroDyn's total cumulative liability for any direct damages shall not exceed £100 GBP or the total fees (if any) paid by the User to ViroDyn in the twelve (12) months preceding the claim, whichever is greater.

Indemnity

The User agrees to indemnify, defend, and hold harmless ViroDyn Ltd, its directors, officers, employees, contractors, and affiliates from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • The User's breach of these Terms;
  • The User's misuse of the Platform or Tools;
  • Any content or data submitted by the User to the Platform;
  • The User's violation of any law, regulation, or third-party right.

Intellectual Property

All intellectual-property rights in the Platform, Tools, and Content are and shall remain the exclusive property of ViroDyn Ltd or its licensors. Except for the limited licence granted in Section 3, no rights are transferred or granted to the User by implication or otherwise.

Modifications and Termination

We may update these Terms at any time. Material changes will be notified via the Platform or email. Continued use after the Effective Date of an update constitutes acceptance. We may suspend or terminate access immediately for any breach of these Terms.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between the User and ViroDyn regarding the Platform and supersede all prior agreements or communications.
